IMPORTANT: By downloading, installing, or using BackMeUp software, you agree to be bound by these Terms of Service and the End User License Agreement (EULA). If you do not agree, do not use the software.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MW AI Labs Ltd ("we," "us," or "our"), the developer and publisher of BackMeUp software application ("Software").
2. Software License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for your personal or internal business purposes.
License Restrictions:
- You may install the Software on devices you own or control
- You may not distribute, sell, lease, rent, or sublicense the Software
- You may not reverse engineer, decompile, or disassemble the Software
- You may not remove or modify any proprietary notices or labels
3. Trial Period
BackMeUp offers a 7-day free trial period. During the trial:
- All features are available for evaluation purposes
- No payment information is required
- The trial automatically expires after 7 days
- You may purchase a license at any time during or after the trial
- No refunds are provided for unused trial time
4. Payment and Pricing
- One-Time Purchase: BackMeUp is sold as a one-time purchase, not a subscription
- License Tiers: Different license tiers (Basic, Pro, Business, Enterprise) are available with varying features
- Payment: Payment is due at the time of purchase
- Taxes: Prices exclude applicable taxes, which are your responsibility
- Price Changes: We reserve the right to modify pricing for future purchases
5. Activation and License Keys
Upon purchase, you will receive:
- A unique license key
- Instructions for activation
- License keys are hardware-locked to your specific machine
- License keys are non-transferable without written permission
Warning: Keep your license key secure. We are not responsible for lost, stolen, or compromised license keys. Replacement keys may incur a fee.
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
We explicitly disclaim all warranties, including but not limited to:
- MERCHANTABILITY: We do not warrant that the Software is merchantable or fit for any particular purpose
- FITNESS FOR PURPOSE: We do not guarantee the Software will meet your specific requirements
- NON-INFRINGEMENT: We do not warrant that the Software does not infringe third-party rights
- ACCURACY: We do not guarantee accurate, complete, or error-free backups
- RELIABILITY: We do not warrant uninterrupted or error-free operation
- DATA INTEGRITY: We do not guarantee data will not be lost, corrupted, or damaged
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING FROM YOUR USE OF THE SOFTWARE.
This includes, but is not limited to:
- Data Loss: Loss of files, data, or information
- Data Corruption: Corruption, modification, or damage to files
- Business Interruption: Loss of business, revenue, or profits
- Recovery Failure: Inability to recover backed-up files
- Indirect Damages: Any consequential, incidental, special, or punitive damages
- Hardware Damage: Damage to storage devices or computer systems
- Third-Party Loss: Damages related to third-party data or systems
Maximum Liability: In no event shall our total liability exceed the amount you paid for the Software license.
8. Data Backup and User Responsibility
CRITICAL NOTICE: Backup software involves inherent risks. You are solely responsible for maintaining multiple backup copies of your important data.
Your Responsibilities:
- Multiple Backups: Maintain at least 3 copies of important data (3-2-1 backup rule)
- Regular Testing: Regularly test backup and recovery procedures
- Verification: Verify backup integrity before relying on them
- Original Files: Keep original files until successful backup is confirmed
- Critical Data: Do not rely solely on BackMeUp for mission-critical data
- Monitoring: Regularly monitor backup logs and status
- Storage Space: Ensure adequate storage space for backups
We Do NOT Guarantee:
- All files will be successfully backed up
- Backed-up files can be successfully recovered
- Recovered files will be identical to originals
- Backups will work with all file types or storage devices
- The Software will detect or prevent data corruption
9. Third-Party Software
BackMeUp may utilize or interact with third-party components, including but not limited to:
- Microsoft Robocopy
- Python runtime
- PyQt6 framework
- SQLite database
We are not responsible for the functionality, reliability, security, or performance of any third-party components.
10. Updates and Upgrades
- Updates are provided free for life
- We may discontinue support for older versions at any time
- Updates may change functionality or introduce new requirements
- You are not obligated to install updates
11. Support
- Email Support: Available to all license holders
- Response Time: We aim to respond within 24-48 hours on business days
- No Guarantee: Support is provided "as is" without warranty
- Limitations: We cannot guarantee resolution of all issues
- Discontinued Support: We may discontinue support at any time with notice
12. Prohibited Uses
You agree NOT to use the Software for:
- Illegal activities or purposes
- Backing up pirated, illegal, or infringing content
- Circumventing security measures or DRM
- Interfering with others' systems or networks
- Commercial redistribution or resale
- Benchmarking for competitive purposes without permission
13. Termination
We may terminate your license if you:
- Violate these Terms or the EULA
- Use the Software for prohibited purposes
- Reverse engineer or tamper with the Software
- Engage in fraudulent activity
Upon termination, you must cease using the Software and destroy all copies.
14. Indemnification
You agree to indemnify, defend, and hold harmless BackMeUp and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use or misuse of the Software
- Your violation of these Terms
- Your violation of any third-party rights
- Data loss or corruption while using the Software
15. Privacy and Data Collection
See our separate Privacy Policy for details on data collection and usage. Key points:
- BackMeUp operates entirely offline
- Your backup data never leaves your computer
- We do not collect or transmit your files
- License activation requires Machine ID only (no personal data)
16. Export Compliance
You agree to comply with all export laws and regulations. You may not use or export the Software in violation of applicable laws.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use after changes constitutes acceptance of modified Terms.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].
19. Severability
